Registration of the amendments to the Articles of Association of the Economic Interest Group and European Economic Interest Group in compliance with the provisions of the Council Regulation (EEC) no.2137/1985, Law no.161/2003 (Book I, Title V, Chapter I, Section II) and GEO no.119/2006

Information note on the processing of personal data

I. Application for registration (original) - application form regarding:

  • any modification of the Articles of Association of the group, including any modification on the structure of the group - details;
  • setting up or dissolution of all branches, representations and of other forms of organization without legal entity - details;
  • court decision stating the nullity of the group;
  • decision of appointment of the administrator or the group administrators, their name/designation, the amendment attesting that the administrators can act individually or together, as well as ceasing their attributions;
  • transfer of a member’s equity shares, in whole or in part;
  • decision of the members of the group or court decision on the dissolution of the group;
  • decision of appointment of the group liquidators, their name/designation, as well as ceasing their attributions;
  • conclusion of the group liquidation;
  • proposal of moving the registered office into a foreign state;
  • clause attesting that the new members are exonerated from the paying the group debts (debts dated prior to their admission into the group). 


II. The application for registration in the trade register of the amendments laid down above shall be followed by:

  1. Documents on which shall be based the request for the amendment - details;
  2. As appropriate:
    • prior endorsements provided for by special laws (original);
    • (special) power of attorney (in authenticated form) or delegation for the persons appointed to fulfill the legal formalities (original);
  3. Declaration on beneficial owner of a legal person - detailsform;
  4. Evidences of payment of legal charges - details:


  • EIG and EEIG shall publish in the Official Gazette, Part IV the documents laid down in art.129 of Law no.161/2003, art. 8 and art. 11 of Council Regulation (EEC) no.2137/1985; EEIG shall also publish the Notification regarding the conclusion of a group liquidation in the Official Journal of the European Community no later than one month from the publication in the Official Gazette Part IV.

  1. The application for registration, the documents provided for by law, filed and numbered, shall be submitted by the applicant directly at the trade register office attached to the law court, by post, with declared-value letter and notice of receipt or by electronic means. The application sent in electronic form, through the online services portal or through the electronic mail, shall have the qualified electronic signature incorporated, attached or logically associated. If the documents are sent by post, the applicant's identity document shall be attached, as a handwritten photocopy  certified by the owner regarding the conformity with the original.
  2. The documents whose registration, change or publication is requested at the trade register office attached to the law court shall be drawn up by the applicant in Romanian, shall be legible, without deletions or additions, under the sanction of rejection thereof.
