Proceedings in the Central Trade Register - 31 May 2003

The statistical synthesis -Operations in the Central Trade Register - includes the results of operations recorded in the Central Trade Register until end of May 2003, upgraded on the basis of data forwarded by the Trade Register Offices in the counties.

Based on the provisional data, this paper shows the trend in the development of the business community in Romania, whatever the sector of activity, type of company and origin of the subscribed capital (local or foreign) is, as result of operations due to the legislation in force concerning the trade register, as:

    • incorporation of new companies;
    • hanges in statutory documents of existing companies;
    • iquidation/dissolutions of companies;
    • trike-off of companies;
    • eissuing of registration certificates by replacement of old certificates

The present statistical synthesis does not reveal the operations concerning companies by foreign direct investment in particular, but these data are included in the general data presented hereby.

The following main aspects are highlighted through this paper:

  • In the period December 1990 - May 2003:

    • The total number of records in the trade registers was of 3,175,642, structured as follows: incorporations 32.6%, changes in statutory documents 61.5% and strike-off documents 5.9% (Table no. 1.a).
    • The structure by years of the number of incorporations in the trade registers, as it is showed in the diagram below, reveals the fact that around 55% of total incorporations were registered in the period of December 1990 - 1995 (Table nr 3).

    • In what concerns the origin of the issued capital, in the related period, from the total of 1,036,169 incorporations, 1,024,129 (98.84%) are companies registered by private capital, 3,547 (0.34%) by majority state capital and the rest of 8,493 (0.82%) by mixed capital (state + private).
    • The structure by type of incorporations during the same period is the following: 201,893 natural persons tradesman and family associations, 827,706 companies, 1,263 companies under State supervision and 5,307 co-operative organisations (Table no. 5).

    • Between January - May 2003, 40,627 new companies were incorporated representing 3.9% of total incorporations in the period December 1990 - May 2003.
  • In May 2003:
    • The total number of records is 36,451 of which 8,427 are incorporations (23.12%), 26,961 changes in statutory documents (73.97%) and 1,063 strike-off of companies (2.92%). The highest number of incorporations in May 2003 was registered in Bucharest Municipality, that is 1,370 incorporations of new companies (17.3% of total operations). The number of changes in statutory documents recorded in Bucharest Trade Register Office, in May 2003, was of 6,491 (82.1% of total operations) (Table no. 7).
    • The structure by type of incorporations in May is the following: 2,748 (32.6%) natural persons tradesman and family associations, 5,674 (67.3%) companies and 5 co-operative. (Table no. 9).

In what concerns the origin of the issued capital, from the total of 8,427 incorporations, 8,422 are companies by private capital, 1 by state capital and 4 by mixt capital (state+private) (Table no. 8).

  • With regard to the number of the incorporated companies and the amount of the subscribed capital, according to their legal status, 5,587 of the total number of incorporations are limited liability companies, totalising 351.5 billion ROL (44.1% of the total capital subscribed in companies) and 77 are joint-stock companies, with a total amount of 445.8 billion ROL in subscribed capital, representing 55.9% of the total capital subscribed in companies (Table no. 12).

The amount of the subscribed capital in the 5,674 new incorporated companies is of 797.3 billion ROL, that is an average of 141.4 million ROL per company.

The highest amount of the subscribed capital is registered in Ilfov county reaching 233.9 billion ROL, Prahova county reaching 184.7 billion ROL and Bucharest Municipality, 152.3 billion ROL. The average amount of the subscribed capital per company, in May, varies a lot from county to county, from 2.0 million ROL in Covasna county to 1248.2 million ROL in Prahova county (Table no. 11).

    • The weight of incorporations of companies in total operations with the trade registers reveals the trend in increasing the number of operations due to changes in statutory documents. So, if the number of incorporations was of 64% in total operations during 1994, in 2001 it was 17% and 23.12% in May 2003.

The increasing dynamics of operations concerning changes in statutory documents, reflects at the same time:

    • changes due to the companies' activity and related to shareholders, address of the registered office, and/or sector of activity, etc.
    • investment in capital of existing companies, sourcing from the registered profit included and from cession of shares or reducing of capital, etc.
    • the increasing number of records due to implementation of Law no. 64/1995 republished concerning the procedure of judiciary reorganisation and bankruptcy and of Law no. 314/2001 on regulating the status of some companies.
  • The number of reissuing the incorporation certificates by replacement with the new registration certificates is significantly different from county to county. Up to 31 of May 2003, the highest rates in reissuing the certificates were registered in the following counties: Brasov 62.1%, Brăila 54.5%, Covasna 53.3% and Cluj 52.1%. At country's level, the average rate of reissuing of certificates is of 41.8% (Table no. 2).
  • The number of strike-off of companies during December 1990 - May 2003 is very different by county. The highest number of strike-off of companies registers the Bucharest Municipality (63,454 that is 30.8% of the total number of incorporations). The following next counties are Constanţa (12,299 and 27.7%) and Timis (8,349 and 24.9%).

The data and the particular aspects in this general overview reveals the significant dimension of the activity in the trade register offices, in order to insure the legality and order in functioning of all types of companies, compulsory by law to request incorporation with the trade register before starting any activity and to request as well to be registered any changes in statutory documents due to deeds and actions stipulated by law to be registered, during the lifetime of the company and in the end of activity.


Companies by Foreign Direct Investment - 30 may 2003

"Companies by foreign direct investment" - is a statistical synthesis including the results of the records operated with the Central Trade Register during May 2003, as well as their trend.

The paper reveals the involvement of the foreign direct investment in the investment process in Romania, considering the records being centralised by NTRO and concerning:

    • incorporation of companies by foreign direct investment
    • other statutory documents on the capital subscribed by the non-residents in already active companies (increasing or decreasing the issued capital, by cession)
    • strike-off of companies by foreign direct investment

The following main aspects may be spotlighted based on the data presented in this paper:

  • the balance account for the foreign investment at 31st May 2003, following the records due to the period of December 1990 –May 31, 2003, includes:

    • the total number of companies being of 93,438 of which 438 being incorporated during May 2003;
    • the issued capital subscribed by the foreign investors being of 9.54 billion USD (8.06 billion EUR), in total amount.

Considering the trends and the different tendencies from country to country regarding the classification by country of origin of the total foreign direct investment for the period 1991 –2003 (May) the first places are awarded to: Netherlands (1 place, 17.6% of the foreign investments by equivalent of currency), Germany (2 place, with 9.7%), France (3 place, with 7.3%), USA (4 place, with 7.2%) and Italy (5 place, with 6.2%).

      • The balance account of the foreign investments by equivalent of currency in 2003, May 31, is with 75 million USD (63.3 million EUR) higher than in the end of April 2003. The monthly trend related to the foreign investments in Romania registers fluctuations with regard to the number of companies and the subscribed capital, as well.
      • The structure upon the sector of activity of the companies by foreign direct investment, incorporated during 1991 –May 2003, shows the preference of investors for the commercial activities. Companies declaring in the statutory documents the intention to develop mainly commercial activities represent 54.3% of the total number of companies by foreign direct investments. The top of preferences continues with the industrial sector (18.8%), services (11.7%), tourism (4.5%) and agriculture (4.2%).

The structure upon the main sector of activity related to that upon the number of companies by foreign direct investment reveals that 53.7% of the total subscribed capital was invested in industry, 16.4% in services and 15.9% in commerce.

  • According to the records of May 2003, the following main results are to be mentioned:

    • At country's level, 438 new companies by foreign direct investment were incorporated, amounting to a total capital of 9.2 million USD, in equivalent of currency. This month, the records by territoriality criteria indicate on the first places, according to the amount in equivalent of currency of the capital subscribed in new companies, Prahova county with 5.4 mil USD (4.6 mil EUR) capital and 16 new companies, Arad county with a capital of 1.3 mil USD (1.1 mil EUR) and 21 new incorporated companies and Ilfov county, with a capital of 1.1 mil USD (934.4 thousand EUR) and 18 new companies. In what concerns the subscribed capital in equivalent of currency, for new companies by foreign direct investment, the records of May 2003 are lower than in May 2002. Under these conditions of different trends regarding the number of companies by foreign direct investment and the amount of the subscribed capital, the average amount of the subscribed capital, in equivalent of currency, per unit, was of 21 thousand USD in May 2003 compared to 32.7 thousand USD in May 2002.

The highest number of companies by foreign direct investment (135 companies) was incorporated during May 2003, in the Bucharest-Ilfov region. In May, the regions ranking upon the investors’preferences were the following: West (83 companies) and Center (68 companies). According to the amount of the subscribed capital for new companies, the first place is awarded to South Muntenia region registering 5.5 million USD.

    • A specific phenomena of May 2003 is concerning the relatively high increase in the subscribed capital of companies by foreign direct investment, according to the records in the trade register, namely: 88.5 million USD (74.8 million EUR) in equivalent of currency, within 529 already existing companies. The changes in the companies' capital by increasing the amount, prevails within the total foreign investments in capital during May 2003, especially in Bucharest Municipality reaching 46.4 million USD (39.1 million EUR), Ilfov county amounting to 15.1 million USD (12.7 million EUR), in Timis county were investments of 14.9 million USD (12.6 million EUR).

According to the amount of the increase in the subscribed capital in May, on the first places are listed the following regions: Bucharest-Ilfov with 61.4 million USD, West with 15 million USD, and South-West Oltenia with 8.2 million USD.

    • In May 2003 a number of 48 companies by foreign direct investments were struck-off, that is 3.5 million USD (3 million EUR) in equivalent of currency. From the total number of these companies, 18 were recorded in Bucharest Municipality. Related to the economic regions, the highest number of strike-off of companies was recorded in Bucharest-Ilfov (18) and North-West (13).
    • Investors from all the continents in the world were the source of the foreign investments registered during May 2003 highlighting, by number and amount of the subscribed capital, the investors from Asia, with 31 new companies and 5.5 million USD (4.6 million EUR) in capital and those from Europe, with 391 new companies and 3.7 mil USD (3.1 mil EUR).
    • In what concerns the statutory documents for increasing the issued capital, the first two places are awarded to the investors from Europe, with a capital of 66.6 million USD and 245 companies and the investors from North America with a capital of 12.8 million USD and 23 companies.

Investments made by O.E.C.D. countries prevail in the total of foreign investments registered during May 2003 in Romania. So, from a total of 438 new companies incorporated at country’s level, 391 companies subscribing 9 million USD (7.65 million EUR) as issued capital, represent the O.E.C.D. countries’contribution and the increase in capital is recorded in 231 companies as contribution of investors from O.E.C.D. countries, reaching 69 million USD (58.3 million EUR) additional capital invested in their companies, during May 2003.

  • According to the classification by country of origin of the foreign investment, the records of May 2003 reveal that:

    • Regarding the incorporations of new companies and related to the subscribed capital, in equivalent of currency, the first places belong to investors from: Japan with 2 new companies and 5.4 million USD (4.6 million EUR), Belgium with 9 new companies and 1.3 mil USD (1.1 mil EUR), Turkey with 28 new companies and 875 thousand USD (739 thousand EUR) and Netherland with 17 new companies and 721.2 thousand USD (608.9 thousand EUR).
    • As for increasing the subscribed capital, on the first places are listed the investors from: Luxembourg with 2 company and 20.6 million USD (17.4 million EUR), USA with 19 companies and 12.8 million USD (10.8 million EUR), Netherland with 9 companies and 12.4 million USD (10.5 million EUR) and Cyprus with 12 companies and 9.9 million USD (8.3 million EUR).
    • The classification according to the month of May this year, by the amount of the subscribed capital was increased, in equivalent of currency, in new companies and already active ones, among the first 40 companies by foreign direct investment are: Compania Hoteliera Intercontinental Romania S.A. (with a partner from Luxemburg) registering an investment in equivalent of currency of 12.5 million USD (10.6 million EUR), ABN AMRO Bank Romania SA (Netherland) with 8.4 million USD (7.1 million EUR), Meva SA (with a partner from the Luxemburg) with 8 million USD (6.8 million EUR), Detergenti SA (SUA) with 7.3 million USD (6.2 million EUR).

According to what we presented so far, we may conclude that the recent trends in the foreign investments in Romania, based on the records of the Central Trade Register, still reveals a positive trend concerning the presence in Romania of the foreign investors, who may also benefit of the facilities offered by the Law for direct investments. Further on, there are premises for taking full advantage of this law, in fact of Romania’s potential in investments.


Proceedings in the Central Trade Register - 30 April 2003

The statistical synthesis "Operations in the Central Trade Register" includes the results of operations recorded in the Central Trade Register until end of April 2003, upgraded on the basis of data forwarded by the Trade Register Offices in the counties.

The following main aspects are highlighted through this paper:

  • In the period December 1990 - April 2003:
    • The total number of records in the trade registers was of 3,139,191, structured as follows: incorporations 32.7%, changes in statutory documents 61.3% and strike-off documents 5.9% (Table no. 1.a).
    • The structure by years of the number of incorporations in the trade registers, as it is showed in the diagram below, reveals the fact that around 55% of total incorporations were registered in the period of December 1990 - 1995 (Table nr 3).

    • In what concerns the origin of the issued capital, in the related period, from the total of 1,027,742 incorporations, 1,015,707 (98.83%) are companies registered by private capital, 3,546 (0.35%) by majority state capital and the rest of 8,489 (0.83%) by mixed capital (state + private).
    • The structure by type of incorporations during the same period is the following: 199,145 natural persons tradesman and family associations, 822,032 companies, 1,263 companies under State supervision and 5,302 co-operative organisations (Table no. 5).

    • Between January - April 2003, 32,200 new companies were incorporated representing 3.13% of total incorporations in the period December 1990 - April 2003.
  • In April 2003:
    • The total number of records is 35,317 of which 8,667 are incorporations (24.54%), 25,799 changes in statutory documents (73.05%) and 851 strike-off of companies (2.41%). The highest number of incorporations in April 2003 was registered in Bucharest Municipality, that is 1,688 incorporations of new companies (21.2% of total operations). The number of changes in statutory documents recorded in Bucharest Trade Register Office, in April 2003, was of 6,235 (78.1% of total operations) (Table no. 7).
    • The structure by type of incorporations in April is the following: 2,240 (25.85%) natural persons tradesman and family associations, 6,417 (74.04%) companies, 3 (0.03%) companies under State supervision and 7 co-operative. (Table no. 9)

In what concerns the origin of the issued capital, from the total of 8,667 incorporations, 8,652 are companies by private capital and 15 by state capital. (state + private) (Table no. 8).

    • With regard to the number of the incorporated companies and the amount of the subscribed capital, according to their legal status, 6,315 of the total number of incorporations are limited liability companies, totalising 333.5 billion ROL (42.3% of the total capital subscribed in companies) and 88 are joint-stock companies, with a total amount of 454.6 billion ROL in subscribed capital, representing 57.7% of the total capital subscribed in companies (Table no. 12).

The amount of the subscribed capital in the 6,417 new incorporated companies is of 788.1 billion ROL, that is an average of 123.5 million ROL per company.

The highest amount of the subscribed capital is registered in Bucharest Municipality reaching 209.04 billion ROL, Dolj county reaching 71 billion ROL and Gorj county, 66.5 billion ROL. The average amount of the subscribed capital per company, in April, varies a lot from county to county, from 2.4 million ROL in Teleorman county to 937.3 million ROL in Gorj county (Table no. 11).

    • The weight of incorporations of companies in total operations with the trade registers reveals the trend in increasing the number of operations due to changes in statutory documents. So, if the number of incorporations was of 64% in total operations during 1994, in 2001 it was 17% and 24.54% in April 2003.

The increasing dynamics of operations concerning changes in statutory documents, reflects at the same time:

    • changes due to the companies’ activity and related to shareholders, address of the registered office, and/or sector of activity, etc.
    • investment in capital of existing companies, sourcing from the registered profit included and from cession of shares or reducing of capital, etc.
    • the increasing number of records due to implementation of Law no. 64/1995 republished concerning the procedure of judiciary reorganisation and bankruptcy and of Law no. 314/2001 on regulating the status of some companies.

  • The number of reissuing the incorporation certificates by replacement with the new registration certificates is significantly different from county to county. Up to 30 of April 2003, the highest rates in reissuing the certificates were registered in the following counties: Salaj 59.7%, Brasov 5.3%, Braila 51.9%, Covasna 50.8% and Cluj 49.2%. At country’s level, the average rate of reissuing of certificates is of 39.5% (Table no. 2).
  • The number of strike-off of companies during December 1990 - April 2003 is very different by county. The highest nmber of strike-off of companies registers the Bucharest Municipality (63,407 that is 34% of the total number of incorporations). The following next counties are Constanta (12,275 and 27.95%) and Timis (8,337 and 25%).

The data and the particular aspects in this general overview reveals the significant dimension of the activity in the trade register offices, in order to insure the legality and order in functioning of all types of companies, compulsory by law to request incorporation with the trade register before starting any activity and to request as well to be registered any changes in statutory documents due to deeds and actions stipulated by law to be registered, during the lifetime of the company and in the end of activity.

"Companies by foreign direct investment" is a statistical synthesis including the results of the records operated with the Central Trade Register during April 2003, as well as their trend.

  • the balance account for the foreign investment at 30st April 2003, following the records due to the period of December 1990 - April 30, 2003, includes:
    • the total number of companies being of 93,016 of which 443 being incorporated during April 2003;
    • the issued capital subscribed by the foreign investors being of 9.44 billion USD (8.48 billion EUR), in total amount.
  • Considering the trends and the different tendencies from country to country regarding the classification by country of origin of the total foreign direct investment for the period 1991 -2003 (April) the first places are awarded to: Netherlands (1 place, 17.6% of the foreign investments by equivalent of currency), Germany (2 place, with 9.8%), France (3 place, with 7.4%), USA (4 place, with 7.2%) and Italy (5 place, with 6.3%).
    • The balance account of the foreign investments by equivalent of currency in 2003, April 30, is with 84.3 million USD (75.7 million EUR) higher than in the end of March 2003. The monthly trend related to the foreign investments in Romania registers fluctuations with regard to the number of companies and the subscribed capital, as well.
    • The structure upon the sector of activity of the companies by foreign direct investment, incorporated during 1991 - April 2003, shows the preference of investors for the commercial activities. Companies declaring in the statutory documents the intention to develop mainly commercial activities represent 54.5% of the total number of companies by foreign direct investments. The top of preferences continues with the industrial sector (18.8%), services (11.6%), tourism (4.5%) and agriculture (4.1%).

The structure upon the main sector of activity related to that upon the number of companies by foreign direct investment reveals that 53.7% of the total subscribed capital was invested in industry, 16.4% in services and 16% in commerce.

  • According to the records of April 2003, the following main results are to be mentioned:
    • At country’s level, 443 new companies by foreign direct investment were incorporated, amounting to a total capital of 3.2 million USD, in equivalent of currency. This month, the records by territoriality criteria indicate on the first places, according to the amount in equivalent of currency of the capital subscribed in new companies, Brasov county with 913.2 thousand USD (820.8 thousand EUR) capital and 22 new companies, Bucharest Municipality with a capital of 613 thousand USD (551 thousand EUR) and 149 new companies, and Cluj county with a capital of 559.8 thousand USD (503.2 thousand EUR) and 22 new incorporated companies. In what concerns the subscribed capital in equivalent of currency, for new companies by foreign direct investment, the records of April 2003 are lower than in April 2002. Under these conditions of different trends regarding the number of companies by foreign direct investment and the amount of the subscribed capital, the average amount of the subscribed capital, in equivalent of currency, per unit, was of 7.3 thousand USD in April 2003 compared to 10.4 thousand USD in April 2002.

The highest number of companies by foreign direct investment (169 companies) was incorporated during April 2003, in the Bucharest-Ilfov region. In March, the regions ranking upon the investors’ preferences were the following: West (74 companies) and Center (58 companies). According to the amount of the subscribed capital for new companies, the first place is awarded to Center region registering 1.1 million USD.

    • A specific phenomena of April 2003 is concerning the relatively high increase in the subscribed capital of companies by foreign direct investment, according to the records in the trade register, namely: 87.7 million USD (78.9 million EUR) in equivalent of currency, within 856 already existing companies. The changes in the companies’ capital by increasing the amount, prevails within the total foreign investments in capital during April 2003, especially in Bucharest Municipality reaching 59.6 million USD (53.6 million EUR), Harghita county amounting to 15.5 million USD (14 million EUR), in Ilfov county were investments of 3.7 million USD (3.4 million EUR). In Botosani, Caras Severin, Covasna, Dambovita and Vaslui counties, there were no records concerning changes by increasing the subscribed capital of the companies by foreign direct investment, during April 2003.

According to the amount of the increase in the subscribed capital in April, on the first places are listed the following regions: Bucharest-Ilfov with 63.4 million USD, Center with 19.1 million USD, and North-West with 1.8 million USD.

    • In April 2003 a number of 33 companies by foreign direct investments were struck-off, that is 1.9 million USD (1.7 million EUR) in equivalent of currency. From the total number of these companies, 11 were recorded in Bucharest Municipality. Related to the economic regions, the highest number of strike-off of companies was recorded in Bucharest-Ilfov (11).
    • Investors from all the continents in the world were the source of the foreign investments registered during April 2003 highlighting, by number and amount of the subscribed capital, the investors from Europe, with 397 new companies and 3 million USD (2.7 million EUR) in capital and those from Asia, with 40 new companies and 188.6 thousand USD (169.5 thousand EUR).
    • In what concerns the statutory documents for increasing the issued capital, the first two places are awarded to the investors from Europe, with a capital of 62.4 million USD and 280 companies and the investors from Asia with a capital of 22.3 million USD and 563 companies.

Investments made by O.E.C.D. countries prevail in the total of foreign investments registered during April 2003 in Romania. So, from a total of 443 new companies incorporated at country’s level, 374 companies subscribing 2.9 million USD (2.6 million EUR) as issued capital, represent the O.E.C.D. countries’ contribution and the increase in capital is recorded in 275 companies as contribution of investors from O.E.C.D. countries, reaching 62.4 million USD (56.1 million EUR) additional capital invested in their companies, during March 2003.

  • According to the classification by country of origin of the foreign investment, the records of April 2003 reveal that:
    • Regarding the incorporations of new companies and related to the subscribed capital, in equivalent of currency, the first places belong to investors from: Italy with 139 new companies and 1.3 million USD (1.2 million EUR), Germany with 52 new companies and 755.2 thousand USD (678.8 thousand EUR), Czech Republic with 3 new companies and 268.3 thousand USD (241.1 thousand EUR) and Greece with 11 new companies and 210.8 thousand USD (189.5 thousand EUR).
    • As for increasing the subscribed capital, on the first places are listed the investors from: Netherland with 12 company and 26.2 million USD (23.5 million EUR), Turkey with 109 companies and 19 million USD (17.1 million EUR), China with 345 companies and 14.7 million USD (13.2 million EUR) and Germany with 27 companies and 5 million USD (4.5 million EUR).
    • The classification according to the month of April this year, by the amount of the subscribed capital was increased, in equivalent of currency, in new companies and already active ones, among the first 40 companies by foreign direct investment are: Mediplus Exim S.A. (with a partner from Netherland) registering an investment in equivalent of currency of 22 million USD (19.8 million EUR), Unver SRL (Turkey) with 15.5 million USD (14 million EUR), Sorod SA (with a partner from the France) with 3.8 million USD (3.4 million EUR), Avrig 35 SA (Netherland) with 3.5 million USD (3.2 million EUR).

According to what we presented so far, we may conclude that the recent trends in the foreign investments in Romania, based on the records of the Central Trade Register, still reveals a positive trend concerning the presence in Romania of the foreign investors, who may also benefit of the facilities offered by the Law for direct investments. Further on, there are premises for taking full advantage of this law, in fact of Romania’s potential in investments.


Proceedings in the Central Trade Register - 31 March 2003

The statistical synthesis "Operations in the Central Trade Register" includes the results of operations recorded in the Central Trade Register until end of March 2003, upgraded on the basis of data forwarded by the Trade Register Offices in the counties.

Based on the provisional data, this paper shows the trend in the development of the business community in Romania, whatever the sector of activity, type of company and origin of the subscribed capital (local or foreign) is, as result of operations due to the legislation in force concerning the trade register, as:

    • incorporation of new companies;
    • changes in statutory documents of existing companies;
    • liquidation/dissolutions of companies;
    • strike-off of companies;
    • reissuing of registration certificates by replacement of old certificates

The present statistical synthesis does not reveal the operations concerning companies by foreign direct investment in particular, but these data are included in the general data presented hereby.

The following main aspects are highlighted through this paper:

  • In the period December 1990 - March 2003:
    • The total number of records in the trade registers was of 3,103,874, structured as follows: incorporations 32.8%, changes in statutory documents 61.2% and strike-off documents 6% (Table no. 1.a).

    • The structure by years of the number of incorporations in the trade registers, as it is showed in the diagram below, reveals the fact that around 55% of total incorporations were registered in the period of December 1990 - 1995 (Table nr 3).
    • In what concerns the origin of the issued capital, in the related period, from the total of 1,019,075 incorporations, 1,007,055 (98.82%) are companies registered by private capital, 3,531 (0.35%) by majority state capital and the rest of 8,489 (0.83%) by mixed capital (state + private).

    • The structure by type of incorporations during the same period is the following: 196,905 natural persons tradesman and family associations, 815,615 companies, 1,260 companies under State supervision and 5,295 co-operative organisations (Table no. 5).
    • Between January - March 2003, 23,533 new companies were incorporated representing 2.31% of total incorporations in the period December 1990 - March 2003.
  • In March 2003:
    • The total number of records is 38,178 of which 8,168 are incorporations (21.4%), 27,490 changes in statutory documents (72%) and 2,520 strike-off of companies (6.6%). The highest number of incorporations in March 2003 was registered in Bucharest Municipality, that is 1,374 incorporations of new companies (17.9% of total operations). The number of changes in statutory documents recorded in Bucharest Trade Register Office, in March 2003, was of 6,225 (81.3% of total operations) (Table no. 7).
    • The structure by type of incorporations in March is the following: 2,088 (25.6%) natural persons tradesman and family associations, 6,075 (74.4%) companies and 4 (0.05%) companies under State supervision and 1 co-operative. (Table no. 9)

    • In what concerns the origin of the issued capital, from the total of 8,168 incorporations, 8,161 are companies by private capital, 6 by state capital and 1 by mixed capital (state + private) (Table no. 8).
    • With regard to the number of the incorporated companies and the amount of the subscribed capital, according to their legal status, 5,980 of the total number of incorporations are limited liability companies, totalising 150.8 billion ROL (62.8% of the total capital subscribed in companies) and 86 are joint-stock companies, with a total amount of 89.2 billion ROL in subscribed capital, representing 37.1% of the total capital subscribed in companies (Table no. 12).

The amount of the subscribed capital in the 6,075 new incorporated companies is of 240.1 billion ROL, that is an average of 39.8 million ROL per company.

The highest amount of the subscribed capital is registered in Bucharest Municipality reaching 117.4 billion ROL, and in Brasov county reaching 18.6 billion ROL. The average amount of the subscribed capital per company, in March, varies a lot from county to county, from 2.1 million ROL in Mehedinţi county to 97.6 million ROL in Brasov county (Table no. 11).

  • The weight of incorporations of companies in total operations with the trade registers reveals the trend in increasing the number of operations due to changes in statutory documents. So, if the number of incorporations was of 64% in total operations during 1994, in 2001 it was 17% only and 21.4% in March 2003.

The increasing dynamics of operations concerning changes in statutory documents, reflects at the same time:

    • changes due to the companies’ activity and related to shareholders, address of the registered office, and/or sector of activity, etc.
    • investment in capital of existing companies, sourcing from the registered profit included and from cession of shares or reducing of capital, etc.
    • the increasing number of records due to implementation of Law no. 64/1995 republished concerning the procedure of judiciary reorganisation and bankruptcy and of Law no. 314/2001 on regulating the status of some companies.
  • The number of reissuing the incorporation certificates by replacement with the new registration certificates is significantly different from county to county. Up to 31 of March 2003, the highest rates in reissuing the certificates were registered in the following counties: Brasov 56.1%, Brăila 50.8%, Covasna 49,1% and Cluj 47.9%. At country’s level, the average rate of reissuing of certificates is of 37.9% (Table no. 2).
  • The number of strike-off of companies during December 1990 - March 2003 is very different by county. The highest number of strike-off of companies registers the Bucharest Municipality (63,350 that is 31.2% of the total number of incorporations). The following next counties are Constanţa (12,252 and 28.1%) and Timis (8,332 and 25.2%).

The data and the particular aspects in this general overview reveals the significant dimension of the activity in the trade register offices, in order to insure the legality and order in functioning of all types of companies, compulsory by law to request incorporation with the trade register before starting any activity and to request as well to be registered any changes in statutory documents due to deeds and actions stipulated by law to be registered, during the lifetime of the company and in the end of activity.


Companies by Foreign Direct Investment - 31 March 2003

"Companies by foreign direct investment" is a statistical synthesis including the results of the records operated with the Central Trade Register during March 2003, as well as their trend.

The paper reveals the involvement of the foreign direct investment in the investment process in Romania, considering the records being centralised by NTRO and concerning:

    • incorporation of companies by foreign direct investment
    • other statutory documents on the capital subscribed by the non-residents in already active companies (increasing or decreasing the issued capital, by cession)
    • strike-off of companies by foreign direct investment

The following main aspects may be spotlighted based on the data presented in this paper:

  • the balance account for the foreign investment at 31st March 2003, following the records due to the period of December 1990 - March 31, 2003, includes:
    • the total number of companies being of 92,575 of which 501 being incorporated during March 2003;

    • the issued capital subscribed by the foreign investors being of 9.38 billion USD (8.61 billion EUR), in total amount.
        • Considering the trends and the different tendencies from country to country regarding the classification by country of origin of the total foreign direct investment for the period 1991 - 2003 (March) the first places are awarded to: Netherlands (1 place, 17.5% of the foreign investments by equivalent of currency), Germany (2 place, with 9.8%), USA (3 place, with 7.7%), France (4 place, with 7.2%) and Italy (5 place, with 6.3%).
        • The balance account of the foreign investments by equivalent of currency in 2003, March 31, is with 76 million USD (69.7 million EUR) higher than in the end of February 2003. The monthly trend related to the foreign investments in Romania registers fluctuations with regard to the number of companies and the subscribed capital, as well.
        • The structure upon the sector of activity of the companies by foreign direct investment, incorporated during 1991 - March 2003, shows the preference of investors for the commercial activities. Companies declaring in the statutory documents the intention to develop mainly commercial activities represent 54.7% of the total number of companies by foreign direct investments. The top of preferences continues with the industrial sector (18.8%), services (11.4%), tourism (4.5%) and agriculture (4.1%).

The structure upon the main sector of activity related to that upon the number of companies by foreign direct investment reveals that 54% of the total subscribed capital was invested in industry, 16.3% in services and 15.8% in commerce.

  • According to the records of March 2003, the following main results are to be mentioned:
      • At country’s level, 501 new companies by foreign direct investment were incorporated, amounting to a total capital of 5 million USD, in equivalent of currency. This month, the records by territoriality criteria indicate on the first places, according to the amount in equivalent of currency of the capital subscribed in new companies, Bucharest Municipality with 2.5 million USD (2.3 million EUR) capital and 149 new companies, Ilfov county with a capital of 1.5 million USD (1.3 million EUR) and 22 new companies, and Braşov county with a capital of 329 thousand USD (302 thousand EUR) and 18 new incorporated companies. In what concerns the subscribed capital in equivalent of currency, for new companies by foreign direct investment, the records of March 2003 are lower than in March 2002. Under these conditions of different trends regarding the number of companies by foreign direct investment and the amount of the subscribed capital, the average amount of the subscribed capital, in equivalent of currency, per unit, was of 10 thousand USD in March 2003 compared to 9.1 thousand USD in March 2002.

The highest number of companies by foreign direct investment (171 companies) was incorporated during March 2003, in the Bucharest-Ilfov region. In March, the regions ranking upon the investors’ preferences were the following: West (82 companies) and North-West (81 companies). According to the amount of the subscribed capital for new companies, the first place is awarded to Bucharest-Ilfov region registering 4 million USD.

      • A specific phenomena of March 2003 is concerning the relatively high increase in the subscribed capital of companies by foreign direct investment, according to the records in the trade register, namely: 104.6 million USD (96 million EUR) in equivalent of currency, within 910 already existing companies. The changes in the companies’ capital by increasing the amount, prevails within the total foreign investments in capital during March 2003, especially in Bucharest Municipality reaching 58.3 million USD (53.5 million EUR), Constanţa county amounting to 31 million USD (28.5 million EUR), in Ilfov county were investments of 3.4 million USD (3.1 million EUR). In Sălaj and Vaslui counties, there were no records concerning changes by increasing the subscribed capital of the companies by foreign direct investment, during March 2003.

According to the amount of the increase in the subscribed capital in March, on the first places are listed the following regions: Bucharest-Ilfov with 61.7 million USD, South-East with 31.5 million USD, and North-West with 4.65 million USD.

      • In March 2003 a number of 151 companies by foreign direct investments were struck-off, that is 5.8 million USD (5.4 million EUR) in equivalent of currency. From the total number of these companies, 22 were recorded in Bucharest Municipality. Related to the economic regions, the highest number of strike-off of companies was recorded in Nord-West (113) and Bucharest-Ilfov (22).
      • Investors from all the continents in the world were the source of the foreign investments registered during March 2003 highlighting, by number and amount of the subscribed capital, the investors from Europe, with 431 new companies and 3.9 million USD (3.6 million EUR) in capital and those from North America, with 28 new companies and 874.8 thousand USD (802.8 thousand EUR).
      • In what concerns the statutory documents for increasing the issued capital, the first two places are awarded to the investors from Europe, with a capital of 83.2 million USD and 345 companies and the investors from Asia with a capital of 20.7 million USD and 549 companies.

Investments made by O.E.C.D. countries prevail in the total of foreign investments registered during March 2003 in Romania. So, from a total of 501 new companies incorporated at country’s level, 417 companies subscribing 4.7 million USD (4.4 million EUR) as issued capital, represent the O.E.C.D. countries’ contribution and the increase in capital is recorded in 340 companies as contribution of investors from O.E.C.D. countries, reaching 69.9 million USD (64.1 million EUR) additional capital invested in their companies, during March 2003.

  • According to the classification by country of origin of the foreign investment, the records of March 2003 reveal that:
      • Regarding the incorporations of new companies and related to the subscribed capital, in equivalent of currency, the first places belong to investors from: Greece with 18 new companies and 1.3 million USD (1.2 million EUR), France with 29 new companies and 963.6 thousand USD (884.3 thousand EUR), USA with 25 new companies and 874.1 thousand USD (802.2 thousand EUR) and Italy with 141 new companies and 656.8 thousand USD (602.8 thousand EUR).
      • As for increasing the subscribed capital, on the first places are listed the investors from: Netherland with 13 company and 37.2 million USD (34.1 million EUR), Cyprus with 15 companies and 11.6 million USD (10.6 million EUR), China with 280 companies and 10.8 million USD (9.9 million EUR) and Great Britain with 14 companies and 8.3 million USD (7.7 million EUR).
      • The classification according to the month of March this year, by the amount of the subscribed capital was increased, in equivalent of currency, in new companies and already active ones, among the first 40 companies by foreign direct investment are: Rompetrol Rafinare S.A. (with a partner from Netherland) registering an investment in equivalent of currency of 30.98 million USD (28.4 million EUR), Romtelecom SA (Cyprus) with 7.1 million USD (6.6 million EUR), Quadrant - Amroq Beverages SA (with a partner from the Great Britain) with 2.2 million USD (2 million EUR), UniCredit Romania SA (Italy) with 2.1 million USD (1.9 million EUR).
