The statistical synthesis "Operations in the Central Trade Register" includes the results of operations recorded in the Central Trade Register until end of February 2003, upgraded on the basis of

data forwarded by the Trade Register Offices in the counties.

Based on the provisional data, this paper shows the trend in the development of the business community in Romania, whatever the sector of activity, type of company and origin of the subscribed capital (local or foreign) is, as result of operations due to the legislation in force concerning the trade register, as:

    • incorporation of new companies;
    • changes in statutory documents of existing companies;
    • liquidation/dissolutions of companies;
    • strike-off of companies;
    • reissuing of registration certificates by replacement of old certificates

The present statistical synthesis does not reveal the operations concerning companies by foreign direct investment in particular, but these data are included in the general data presented hereby.

The following main aspects are highlighted through this paper:

  • In the period December 1990 - February 2003:
    • The total number of records in the trade registers was of 3,065,696, structured as follows: incorporations 33%, changes in statutory documents 61% and strike-off documents 6% (Table no. 1.a).
    • The structure by years of the number of incorporations in the trade registers, as it is showed in the diagram below, reveals the fact that around 55% of total incorporations were registered in the period of December 1990 – 1995 (Table nr 3).

    • In what concerns the origin of the issued capital, in the related period, from the total of 1,010,907 incorporations, 998,894 (98.81%) are companies registered by private capital, 3,525 (0.35%) by majority state capital and the rest of 8,488 (0.85%) by mixed capital (state + private).
    • The structure by type of incorporations during the same period is the following: 194,817 natural persons tradesman and family associations, 809,540 companies, 1,256 companies under State supervision and 5,294 co-operative organisations (Table no. 5).

    • Between January - February 2003, 15,365 new companies were incorporated representing 1.52% of total incorporations in the period December 1990 - February 2003.
  • In February 2003:
    • The total number of records is 30,867 of which 8,659 are incorporations (28.05%), 20,985 changes in statutory documents (67.99%) and 1,223 strike-off of companies (3.96%). The highest number of incorporations in February 2003 was registered in Bucharest Municipality, that is 1,836 incorporations of new companies (25.9% of total operations). The number of changes in statutory documents recorded in Bucharest Trade Register Office, in February 2003, was of 5,266 (74.1% of total operations) (Table no. 7).
    • The structure by type of incorporations in February is the following: 2,095 (24.2%) natural persons tradesman and family associations, 6,560 (75.8%) companies and 4 (0.05%) companies under State supervision (Table no. 9).

    • In what concerns the origin of the issued capital, from the total of 8,659 incorporations, 8,462 are companies by private capital, 7 by state capital and 10 by mixed capital (state + private) (Table no. 8).
    • With regard to the number of the incorporated companies and the amount of the subscribed capital, according to their legal status, 6,464 of the total number of incorporations are limited liability companies, totalising 141.4 billion ROL (2.2% of the total capital subscribed in companies) and 85 are joint-stock companies, with a total amount of 6,387 billion ROL in subscribed capital, representing 97.8% of the total capital subscribed in companies (Table no. 12).

The amount of the subscribed capital in the 6,560 new incorporated companies is of 6,528.3 billion ROL, that is an average of 999.6 million ROL per company.

The highest amount of the subscribed capital is registered in Bucharest Municipality reaching 6,131.6 billion ROL, and in Neamţ county reaching 191.9 billion ROL. The average amount of the subscribed capital per company, in February, varies a lot from county to county, from 2.0 million ROL in Caraş Severin county to 3,583,7 million ROL in Bucharest Municipality (Table no. 11).

  • The weight of incorporations of companies in total operations with the trade registers reveals the trend in increasing the number of operations due to changes in statutory documents. So, if the number of incorporations was of 64% in total operations during 1994, in 2001 it was 17% only and 28.05% in February 2003.

The increasing dynamics of operations concerning changes in statutory documents, reflects at the same time:

    • changes due to the companies’ activity and related to shareholders, address of the registered office, and/or sector of activity, etc.
    • investment in capital of existing companies, sourcing from the registered profit included and from cession of shares or reducing of capital, etc.
    • the increasing number of records due to implementation of Law no. 64/1995 republished concerning the procedure of judiciary reorganisation and bankruptcy and of Law no. 314/2001 on regulating the status of some companies.
  • The number of reissuing the incorporation certificates by replacement with the new registration certificates is significantly different from county to county. Up to 28 of February 2003, the highest rates in reissuing the certificates were registered in the following counties: Braşov 53.8%, Brăila 49.5%, Covasna 47,4% and Constanţa 46.7%. At country’s level, the average rate of reissuing of certificates is of 36.5% (Table no. 2).
  • The number of strike-off of companies during December 1990 – February 2003 is very different by county. The highest number of strike-off of companies registers the Bucharest Municipality (63,293 that is 31.4% of the total number of incorporations). The following next counties are Constanta (12,229 and 28.2%) and Timiş (8,327 and 25.4%).

The data and the particular aspects in this general overview reveals the significant dimension of the activity in the trade register offices, in order to insure the legality and order in functioning of all types of companies, compulsory by law to request incorporation with the trade register before starting any activity and to request as well to be registered any changes in statutory documents due to deeds and actions stipulated by law to be registered, during the lifetime of the company and in the end of activity.

The following main aspects are highlighted through this paper:

  • In the period December 1990 - January 2003:
    • The total number of records in the trade registers was of 3,034,829, structured as follows: incorporations 33%, changes in statutory documents 61% and strike-off documents 6% (Table no. 1.a).
    • The structure by years of the number of incorporations in the trade registers, as it is showed in the diagram below, reveals the fact that around 55% of total incorporations were registered in the period of December 1990 – 1995 (Table nr 3).

    • In what concerns the origin of the issued capital, in the related period, from the total of 1,002,248 incorporations, 990,252 (98.8%) are companies registered by private capital, 3,518 (0.35%) by majority state capital and the rest of 8,478 (0.85%) by mixed capital (state + private).

    • The structure by type of companies incorporated during the same period is the following: 192,722 natural persons tradesman and family associations, 802,980 companies, 1,252 companies under State supervision and 5,294 co-operative organisations (Table no. 5).
    • In January 2003, 6,706 new companies were incorporated representing 0.7% of total incorporations in the period December 1990 - January 2003.
  • In January 2003:
    • The total number of records is 26,471 of which 6,706 are incorporations (25.3%), 18,781 changes in statutory documents (70.9%) and 984 strike-off of companies (3.7%). The highest number of incorporations in January 2003 was registered in Bucharest Municipality, that is 1,445 incorporations of new companies (24% of total operations). The number of changes in statutory documents recorded in Bucharest Trade Register Office, in January 2003, was of 4,504 (74.9% of total operations) and the number of strike-off of companies was of 62 (1% of total operations) (Table no. 7).
    • The structure by type of companies incorporated in January is the following: 1,515 (22.6%) natural persons tradesman and family associations, 5,188 (77.4%) companies and 3 (0.04%) companies under State supervision (Table no. 9).

    • In what concerns the origin of the issued capital, from the total of 6,706 incorporations, 6,700 are companies by private capital, 5 by state capital and 1 by mixed capital (state + private) (Table no. 8).
    • With regard to the number of the incorporated companies and the amount of the subscribed capital, according to their legal status, 5,109 of the total number of incorporations are limited liability companies, totalising 130.9 billion ROL (97.4% of the total capital subscribed in companies) and 75 are joint-stock companies, with a total amount of 3.5 billion ROL in subscribed capital, representing 2.6% of the total capital subscribed in companies (Table nr 12).

The amount of the subscribed capital in the 5,188 new incorporated companies is of 134.4 billion ROL, that is an average of 26 million ROL per company.

The highest amount of the subscribed capital is registered in Bucharest Municipality reaching 70.7 billion ROL, and in Brăila county reaching 12 billion ROL. The average amount of the subscribed capital per company, in January, varies a lot from county to county, from 2.0 million ROL in Covasna county to 143.3 million ROL in Brăila county (Table no. 11).

  • The weight of incorporations of companies in total operations with the trade registers reveals the trend in increasing the number of operations due to changes in statutory documents. So, if the number of incorporations was of 64% in total operations during 1994, in 2001 it was 17% only and 25.3% in January 2003.

Up to 31 January 2003, the highest rates in reissuing the certificates were registered in the following counties: Braşov 50.8%, Brăila 47.8%, Constanţa 45.8% and Cluj 45.4%. At country’s level, the average rate of reissuing of certificates is of 35.4% (Table no. 2).
  • The number of strike-off of companies during December 1990 – January 2003 is very different by county. The highest number of strike-off of companies registers the Bucharest Municipality (63,293 that is 31.6% of the total number of incorporations). The following next counties are Constanta (12,199 and 28.4%) and Timis (8,321 and 25.7%).

The data and the particular aspects in this general overview reveals the significant dimension of the activity in the trade register offices, in order to insure the legality and order in functioning of all types of companies, compulsory by law to request incorporation with the trade register before starting any activity and to request as well to be registered any changes in statutory documents due to deeds and actions stipulated by law to be registered, during the lifetime of the company and in the end of activity.


Companies by Foreign Direct Investment - 28 February 2003

"Companies by foreign direct investment" is a statistical synthesis including the results of the records operated with the Central Trade Register during February 2003, as well as their trend.

The paper reveals the involvement of the foreign direct investment in the investment process in Romania, considering the records being centralised by NTRO and concerning:

    • incorporation of companies by foreign direct investment
    • other statutory documents on the capital subscribed by the non-residents in already active companies (increasing or decreasing the issued capital, by cession)
    • strike-off of companies by foreign direct investment

The following main aspects may be spotlighted based on the data presented in this paper:

  • the balance account for the foreign investment at 28st February 2003, following the records due to the period of December 1990 - February 28, 2003, includes:
    • the total number of companies being of 92,088 of which 624 being incorporated during February 2003;
    • the issued capital subscribed by the foreign investors being of 9.3 billions USD (8.6 billion EUR), in total amount.

  • Considering the trends and the different tendencies from country to country regarding the classification by country of origin of the total foreign direct investment for the period 1991 - 2003 (February) the first places are awarded to: Netherlands (1 place, 17.2% of the foreign investments by equivalent of currency), Germany (2 place, with 9.9%), USA (3 place, with 7,8%), France (4 place, with 7.3%) and Austria (5 place, with 6.2%).
    • The balance account of the foreign investments by equivalent of currency in 2003, February 28, is with 39.3 million USD (36.4 million EUR) higher than in the end of January 2003. The monthly trend related to the foreign investments in Romania registers fluctuations with regard to the number of companies and the subscribed capital, as well.
    • The structure upon the sector of activity of the companies by foreign direct investment, incorporated during 1991 - February 2003, shows the preference of investors for the commercial activities. Companies declaring in the statutory documents the intention to develop mainly commercial activities represent 54.9% of the total number of companies by foreign direct investments. The top of preferences continues with the industrial sector (18.8%), services (11.3%), tourism (4.4%) and agriculture (4.1%).

The structure upon the main sector of activity related to that upon the number of companies by foreign direct investment reveals that 53.8% of the total subscribed capital was invested in industry, 16.6% in services and 15.6% in commerce.

  • According to the records of February 2003, the following main results are to be mentioned:
    • At country’s level, 624 new companies by foreign direct investment were incorporated, amounting to a total capital of 5.8 million USD, in equivalent of currency. This month, the records by territoriality criteria indicate on the first places, according to the amount in equivalent of currency of the capital subscribed in new companies, Bucharest Municipality with 3.9 million USD (3.6 million EUR) capital and 257 new companies, Ilfov county with a capital of 847.7 thousand USD (785.8 million EUR) and 23 new companies, and Prahova county with a capital of 563.3 thousand USD (522.3 thousand EUR) and 20 new incorporated companies. In what concerns the subscribed capital in equivalent of currency, for new companies by foreign direct investment, the records of February 2003 are lower than in February 2002. Under these conditions of different trends regarding the number of companies by foreign direct investment and the amount of the subscribed capital, the average amount of the subscribed capital, in equivalent of currency, per unit, was of 9.3 thousand USD in February 2003 compared to 12.3 thousand USD in February 2002.

The highest number of companies by foreign direct investment (280 companies) was incorporated during February 2003, in the Bucharest-Ilfov region. In February, the regions ranking upon the investors’ preferences were the following: West (88 companies) and North-West (73 companies). According to the amount of the subscribed capital for new companies, the first place is awarded to Bucharest-Ilfov region registering 4.7 million USD.

    • A specific phenomena of February 2003 is concerning the relatively high increase in the subscribed capital of companies by foreign direct investment, according to the records in the trade register, namely: 100 million USD (92.6 million EUR) in equivalent of currency, within 536 already existing companies. The changes in the companies’ capital by increasing the amount, prevails within the total foreign investments in capital during February 2003, especially in Galati county reaching 41.3 million USD (38.3 million EUR), Bucharest Municipality amounting to 39 million USD (36.2 million EUR), in Olt county where investments of 5 million USD (4.6 million EUR) were recorded and Cluj with 4.1 million USD (3.8 million EUR). In Alba, Botosani, Buzau, Salaj and Teleorman counties, there are no records concerning changes by increasing the subscribed capital of the companies by foreign direct investment, during February 2003.

According to the amount of the increase in the subscribed capital in February, on the first places are listed the following regions: South-East with 47 million USD, Bucharest-Ilfov with 39.4 million USD and South-West Oltenia with 5.2 million USD.

    • In February 2003 a number of 49 companies by foreign direct investments were struck-off, that is 47.8 million USD (44.3 million EUR) in equivalent of currency. From the total number of these companies, 21 were recorded in Bucharest Municipality. Related to the economic regions, the highest number of strike-off of companies was recorded in Bucharest-Ilfov (21) and Nord-West (15).
    • Investors from all the continents in the world were the source of the foreign investments registered during February 2003 highlighting, by number and amount of the subscribed capital, the investors from Europe, with 492 new companies and 2.1 million USD (2 million EUR) in capital and those from North America, with 43 new companies and 3.3 million USD (3.1 million EUR).
    • In what concerns the statutory documents for increasing the issued capital, the first two places are awarded to the investors from Europe, with a capital of 47.6 million USD and 299 companies and the investors from Oceania with a capital of 46.2 million USD and 4 companies.

Investments made by O.E.C.D. countries prevail in the total of foreign investments registered during February 2003 in Romania. So, from a total of 624 new companies incorporated at country’s level, 478 companies subscribing 5.5 million USD (5.1 million EUR) as issued capital, represent the O.E.C.D. countries’ contribution and the increase in capital is recorded in 279 companies as contribution of investors from O.E.C.D. countries, reaching 26.4 million USD (24.4 million EUR) additional capital invested in their companies, during February 2003.

  • According to the classification by country of origin of the foreign investment, the records of February 2003 reveal that:
    • Regarding the incorporations of new companies and related to the subscribed capital, in equivalent of currency, the first places belong to investors from: USA with 35 new companies and 3.3 million USD (3.1 million EUR), Germany with 54 new companies and 593.9 thousand USD (550.8 thousand EUR), Turkey with 59 new companies and 471.5 thousand USD (437.2 thousand EUR) and Belgium with 8 new companies and 471.4 thousand USD (437.1 thousand EUR).
    • As for increasing the subscribed capital, on the first places are listed the investors from: Antilele Olandeze with 1 company and 41.3 million USD (38.3 million EUR), Cyprus with 17 companies and 21.7 million USD (20.2 million EUR), Germany with 33 companies and 6 million USD (5.6 million EUR) and Marshall Islands with 1 companies and 4.9 million USD (4.5 million EUR).
    • The classification according to the month of February this year, by the amount of the subscribed capital was increased, in equivalent of currency, in new companies and already active ones, among the first 40 companies by foreign direct investment are: Ispat Sidex S.A. (with a partner from Antilele Olandeze.) registering an investment in equivalent of currency of 41.3 million USD (38.3 million EUR), Romtelecom SA (Cyprus) with 19.4 million USD (18 million EUR), Artrom SA (with a partner from the Germany) with 5 million USD (4.6 million EUR), Santierul Naval SA (Marshall Islands) with 4.85 million USD (4.5 million EUR).

According to what we presented so far, we may conclude that the recent trends in the foreign investments in Romania, based on the records of the Central Trade Register, still reveals a positive trend concerning the presence in Romania of the foreign investors, who may also benefit of the facilities offered by the Law for direct investments. Further on, there are premises for taking full advantage of this law, in fact of Romania’s potential in investments.

Companies by Foreign Direct Investment - 31 January 2003

"Companies by foreign direct investment" is a statistical synthesis including the results of the records operated with the Central Trade Register during January 2003, as well as their trend.

The paper reveals the involvement of the foreign direct investment in the investment process in Romania, considering the records being centralised by NTRO and concerning:

    • incorporation of companies by foreign direct investment
    • other statutory documents on the capital subscribed by the non-residents in already active companies (increasing or decreasing the issued capital, by cession)
    • strike-off of companies by foreign direct investment

The following main aspects may be spotlighted based on the data presented in this paper:

  • the balance account for the foreign investment at 31st January 2003, following the records due to the period of December 1990 – January 31, 2003, includes:
    • the total number of companies being of 91,480 of which 695 being incorporated during January 2003;
    • the issued capital subscribed by the foreign investors being of 9.27 billions USD (8.57 billion EUR), in total amount.

  • Considering the trends and the different tendencies from country to country regarding the classification by country of origin of the total foreign direct investment for the period 1991 –2003 (January) the first places are awarded to: Netherlands (1 place, 17.3% of the foreign investments by equivalent of currency), Germany (2 place, with 9.8%), USA (3 place, with 8%), France (4 place, with 7.3%) and Austria (5 place, with 6.2%).
    • The balance account of the foreign investments by equivalent of currency in 2003, January 31, is with 93.8 million USD (86.6 million EUR) higher than in the end of December 2002. The monthly trend related to the foreign investments in Romania registers fluctuations with regard to the number of companies and the subscribed capital, as well.
    • The structure upon the sector of activity of the companies by foreign direct investment, incorporated during 1991 – January 2003, shows the preference of investors for the commercial activities. Companies declaring in the statutory documents the intention to develop mainly commercial activities represent 55% of the total number of companies by foreign direct investments. The top of preferences continues with the industrial sector (18.8%), services (11.2%), tourism (4.4%) and agriculture (4.1%).

The structure upon the main sector of activity related to that upon the number of companies by foreign direct investment reveals that 53.8% of the total subscribed capital was invested in industry, 16.7% in services and 15.6% in commerce.

  • According to the records of January 2003, the following main results are to be mentioned:
    • At country’s level, 695 new companies by foreign direct investment were incorporated, amounting to a total capital of 8.8 million USD, in equivalent of currency. This month, the records by territoriality criteria indicate on the first places, according to the amount in equivalent of currency of the capital subscribed in new companies, Călăraşi county with a capital of 6.7 million USD (6.2 million EUR) and 5 new companies, Bucharest Municipality with 911 thousand USD (841.6 thousand EUR) capital and 279 new companies and Ilfov county with a capital of 582 thousand USD (537.7 thousand EUR) and 34 new incorporated companies. In what concerns the subscribed capital in equivalent of currency, for new companies by foreign direct investment, the records of January 2003 are with 2.7 million USD higher than in January 2002. Under these conditions of different trends regarding the number of companies by foreign direct investment and the amount of the subscribed capital, the average amount of the subscribed capital, in equivalent of currency, per unit, was of 12.6 thousand USD in January 2003 compared to 13.6 thousand USD in January 2002.

The highest number of companies by foreign direct investment (313 companies) was incorporated during January 2003, in the Bucharest-Ilfov region. In January, the regions ranking upon the investors’ preferences were the following: West (91 companies) and North-West (84 companies). According to the amount of the subscribed capital for new companies, the first place is awarded to South-Muntenia region registering 6.8 million USD.

    • A specific phenomena of January 2003 is concerning the relatively high increase in the subscribed capital of companies by foreign direct investment, according to the records in the trade register, namely: 118.8 million USD (109.8 million EUR) in equivalent of currency, within 613 already existing companies. The changes in the companies’ capital by increasing the amount, prevails within the total foreign investments in capital during January 2003, especially in Bucharest Municipality reaching 46.1 million USD (42.6 million EUR), Olt county amounting to 37.8 million USD (34.9 million EUR), in Ilfov county where investments of 8.4 million USD (7.7 million EUR) were recorded and Timis with 5 million USD (4.6 million EUR). In Vaslui county, there are no records concerning changes by increasing the subscribed capital of the companies by foreign direct investment, during January 2003.

According to the amount of the increase in the subscribed capital in January, on the first places are listed the following regions: Bucharest-Ilfov with 54.5 million USD, South-West Oltenia with 38.4 million USD and South-Muntenia with 9.8 million USD.

    • In January 2003 a number of 76 companies by foreign direct investments were struck-off, that is 5.8 million USD (5.3 million EUR) in equivalent of currency. From the total number of these companies, 26 were recorded in Satu Mare county and 18 were recorded in Bucharest Municipality. Related to the economic regions, the highest number of strike-off of companies was recorded in Nord-West (34) and Bucharest-Ilfov (20).
    • Investors from all the continents in the world were the source of the foreign investments registered during January 2003 highlighting, by number and amount of the subscribed capital, the investors from Europe, with 509 new companies and 8.5 million USD (7.8 million EUR) in capital and those from Asia, with 158 new companies and 277.8 thousand USD (256.6 thousand EUR).
    • In what concerns the statutory documents for increasing the issued capital, the first two places are awarded to the investors from Europe, with a capital of 109.4 million USD and 373 companies and the investors from North America with a capital of 5 million USD and 26 companies.

Investments made by O.E.C.D. countries prevail in the total of foreign investments registered during January 2003 in Romania. So, from a total of 695 new companies incorporated at country’s level, 512 companies subscribing 8.4 million USD (7.7 million EUR) as issued capital, represent the O.E.C.D. countries’ contribution and the increase in capital is recorded in 370 companies as contribution of investors from O.E.C.D. countries, reaching 103 million USD (95.2 million EUR) additional capital invested in their companies, during January 2003.

  • According to the classification by country of origin of the foreign investment, the records of January 2003 reveal that:
    • Regarding the incorporations of new companies and related to the subscribed capital, in equivalent of currency, the first places belong to investors from: Italy with 159 new companies and 7.2 million USD (6.6 million EUR), Spain with 9 new companies and 238.6 thousand USD (220.4 thousand EUR), China with 28 new companies and 204.5 thousand USD (189 thousand EUR) and Germany with 59 new companies and 144 thousand USD (133 thousand EUR).
    • As for increasing the subscribed capital, on the first places are listed the investors from: Great Britain with 16 companies and 38 million USD (35 million EUR), Netherland with 22 companies and 12.4 million USD (11.5 million EUR), Germany with 31 companies and 10.3 million USD (9.5 million EUR) and Austria with 21 companies and 10.1 million USD (9.3 million EUR).
    • The classification according to the month of January this year, by the amount of the subscribed capital was increased, in equivalent of currency, in new companies and already active ones, among the first 40 companies by foreign direct investment are: Alro S.A. (with a partner from Great Britain.) registering an investment in equivalent of currency of 29.8 million USD (27.6 million EUR), OMV Romania Mineraloel SRL (Austria) with 10 million USD (9.2 million EUR), Praktiker Romania SRL (with a partner from the Germany) with 6.9 million USD (6.4 million EUR), Donasid SA (Italy) with 6.7 million USD (6.2 million EUR).

According to what we presented so far, we may conclude that the recent trends in the foreign investments in Romania, based on the records of the Central Trade Register, still reveals a positive trend concerning the presence in Romania of the foreign investors, who may also benefit of the facilities offered by the Law for direct investments. Further on, there are premises for taking full advantage of this law, in fact of Romania’s potential in investments.

PRESS RELEASE

By implementation of Emergency Government Ordinance no. 129/2002, providing that the National Trade Register Office is being detached from the Chamber of Commerce and Industry structure being organised as public institution under the Ministry of Justice co-ordination, the Government Decision no. 1345/2002 was issued being the base for aproving the standard form and content of the incorporation certificate, attesting the registration of a business in the trade register and the corresponding fiscal registration as well, as presented in the attached specimen.

The incorporation certificate for businesses, tailored to the new legal status of the National Trade Register Office and of the Trade Register Offices under its co-ordination and operating attached to the Law courts, is being issued and is going to be implemented by all the Trade Register Offices attached to the Law courts, starting with the 1st of February 2003.

The incorporation certificates and annexes the businessmen were provided with, before February 1st 2003 according to the provisions of the Emergency Government Ordinance no. 76/2001, republished and the Government Decision no. 573/2002, are still valid from now on.

New version of the Activities’ Classification in the National Economy (CAEN Rev. 1)

The first version of CAEN, in force according to HG (Government Decision) no. 656/1997, was set up aiming to insure identifying and code of all activities, by a definite system following the provisions of the European Economic Community Council Regulation 3037/1990 and being harmonized with the Nomenclature of Activities in the European Community, namely NACE Rev.1.
Starting with the 1st of January 2003, a new version of the Nomenclature of Activities in the European Community is being implemented within the European Union, namely NACE Rev.1.1.
Actions carried on by the National Institute for Statistics in Romania towards matching the Romanian Classification with the European Nomenclature, are in progress since 2001, according to the harmonisation strategy of the Romanian statistics with the European norms and standards in statistics as well as, complying with the tasks assumed concerning the chapter 12 “STATISTICS” in Romania’s Accession Dossier to the European Union.

Launching "RECOM online"!


Following the implementation of the Government Ordinance provisions no. 129/10.10.2002, NTRO is organised as a public institution and legal person under the Ministry of Justice co-ordination and, according to the Government Decision no. 1344/2002, has the legal competency to provide information based on the computerized trade register.
In this context and wishing to join the efforts and activities supporting the business community, the National Trade Register Office launched the “RECOM online“ service for accessing information in the central trade register data base. This service offers online access to the legal information on companies in Romania, according to the data in the computerized central trade register.
The exclusive administration of the RECOM data base by the National Trade Register Office allows us to up date continuosly and permanently the information provided through the “RECOM online” service, base on registrations operated in the 42 Trade Register Offices in the country. This way, we would like our service to be an efficient and useful tool addressing to all interested Internet users.

Important notification!

According to OUG no. 129/10.10.2002 provisions, modifying the Law no. 26/1990 concerning the trade register: the central trade register is under the National Trade Register Office management, N.T.R.O. being a public institution and legal person, entirely financed by own resources and organised under the Ministry of Justice co-ordination.
The trade register offices are being organised under the National Trade Register Office co-ordination and operate attached to each Law court.
Based on the provisions of the Government Decision (H.G.) no. 1344/2002, the National Trade Register Office (NTRO) under the Ministry of Justice co-ordination and the trade register offices attached to the law courts have the legal competency to provide information from the computerized central trade register.

Companies by Foreign Direct Investment - 31 December 2002

"Companies by foreign direct investment" is a statistical synthesis including the results of the records operated with the Central Trade Register during December 2002, as well as their trend.

The paper reveals the involvement of the foreign direct investment in the investment process in Romania, considering the records being centralised by NTRO and concerning:

    • incorporation of companies by foreign direct investment
    • other statutory documents on the capital subscribed by the non-residents in already active companies (increasing or decreasing the issued capital, by cession)
    • strike-off of companies by foreign direct investment

The following main aspects may be spotlighted based on the data presented in this paper:

  • the balance account for the foreign investment at 31st December 2002, following the records due to the period of December 1990 December 31, 2002, includes:
    • the total number of companies being of 89,911 of which 621 being incorporated during December 2002;
    • the issued capital subscribed by the foreign investors being of 8.94 billions USD (8.58 billion EUR), in total amount.

  • Considering the trends and the different tendencies from country to country regarding the classification by country of origin of the total foreign direct investment for the period 1991 –2002 (December) the first places are awarded to: Netherlands (1 place, 17.6% of the foreign investments by equivalent of currency), Germany (2 place, with 9.9%), USA (3 place, with 7.9%), France (4 place, with 7.3%) and Austria (5 place, with 6.2%).
    • The balance account of the foreign investments by equivalent of currency in 2002, December 31, is with 109.9 million USD (105.4 million EUR) higher than in the end of November 2002. The monthly trend related to the foreign investments in Romania registers fluctuations with regard to the number of companies and the subscribed capital, as well.
    • The structure upon the sector of activity of the companies by foreign direct investment, incorporated during 1991 – December 2002, shows the preference of investors for the commercial activities. Companies declaring in the statutory documents the intention to develop mainly commercial activities represent 55.2% of the total number of companies by foreign direct investments. The top of preferences continues with the industrial sector (18.9%), services (11%), tourism (4.3%) and agriculture (4.2%).

The structure upon the main sector of activity related to that upon the number of companies by foreign direct investment reveals that 53.7% of the total subscribed capital was invested in industry, 16.2% in services and 16.1% in commerce.

  • According to the records of December 2002, the following main results are to be mentioned:
    • At country’s level, 621 new companies by foreign direct investment were incorporated, amounting to a total capital of 4.86 million USD, in equivalent of currency. This month, the records by territoriality criteria indicate on the first places, according to the amount in equivalent of currency of the capital subscribed in new companies, Ilfov county with a capital of 2.4 million USD (2.3 million EUR) and 33 new companies, Bucharest Municipality with 1.9 million USD (1.8 million EUR) capital and 262 new companies and Timiş county with a capital of 173.1 thousand USD (166.1 thousand EUR) and 42 new incorporated companies. In what concerns the subscribed capital in equivalent of currency, for new companies by foreign direct investment, the records of December are with 2.7 million USD higher than in December 2001. Under these conditions of different trends regarding the number of companies by foreign direct investment and the amount of the subscribed capital, the average amount of the subscribed capital, in equivalent of currency, per unit, was of 7.8 thousand USD in December 2002 compared to 17.2 thousand USD in December 2001.

The highest number of companies by foreign direct investment (295 companies) was incorporated during December 2002, in the Bucharest-Ilfov region. In December, the regions ranking upon the investors’ preferences were the following: West (85 companies) and Center (78 companies). According to the amount of the subscribed capital for new companies, the first place is awarded to Bucharest-Ilfov region registering 4.3 million USD.

    • A specific phenomena of December 2002 is concerning the relatively high increase in the subscribed capital of companies by foreign direct investment, according to the records in the trade register, namely: 122.4 million USD (117.5 million EUR) in equivalent of currency, within 421 already existing companies. The changes in the companies’ capital by increasing the amount, prevails within the total foreign investments in capital during December 2002, especially in Bucharest Municipality reaching 60.4 million USD (57.9 million EUR), Ilfov county amounting to 31.75 million USD (30.46 million EUR), in Dâmboviţa county where investments of 7.97 million USD (7.64 million EUR) were recorded and Vaslui with 5 million USD (4.8 million EUR). In Botoşani, Călăraşi, Tulcea and Vâlcea counties, there are no records concerning changes by increasing the subscribed capital of the companies by foreign direct investment, during December 2002.

According to the amount of the increase in the subscribed capital in December, on the first places are listed the following regions: Bucharest-Ilfov with 92.1 million USD, South-Muntenia with 8 million USD and North-East with 5.7 million USD.

    • In December 2002 a number of 46 companies by foreign direct investments were struck-off, that is 139.5 million USD (133.9 million EUR) in equivalent of currency. From the total number of these companies, 18 were recorded in Bucharest Municipality. Related to the economic regions, the highest number of strike-off of companies was recorded in Bucharest-Ilfov (18) and Nord-West (8).
    • Investors from all the continents in the world were the source of the foreign investments registered during December 2002 highlighting, by number and amount of the subscribed capital, the investors from Europe, with 475 new companies and 2.8 million USD (2.7 million EUR) in capital and those from Asia, with 133 new companies and 361.9 thousand USD (347.2 thousand EUR).
    • In what concerns the statutory documents for increasing the issued capital, the first two places are awarded to the investors from Europe, with a capital of 89.9 million USD and 272 companies and the investors from South America with a capital of 30 million USD and 5 companies.
Investments made by O.E.C.D. countries prevail in the total of foreign investments registered during December 2002 in Romania. So, from a total of 621 new companies incorporated at country’s level, 461 companies subscribing 4.3 million USD (4.1 million EUR) as issued capital, represent the O.E.C.D. countries’ contribution and the increase in capital is recorded in 267 companies as contribution of investors from O.E.C.D. countries, reaching 85.7 million USD (82.2 million EUR) additional capital invested in their companies, during December 2002.
  • According to the classification by country of origin of the foreign investment, the records of December 2002 reveal that:
    • Regarding the incorporations of new companies and related to the subscribed capital, in equivalent of currency, the first places belong to investors from: Canada with 6 new companies and 1.7 million USD (1.6 million EUR), Netherlands with 23 new companies and 1.2 million USD (1.1 million EUR), Great Britain with 12 new companies and 625.5 thousand USD (600 thousand EUR) and China with 45 new companies and 318 thousand USD (305 thousand EUR).
    • As for increasing the subscribed capital, on the first places are listed the investors from: I Virgine Britanice with 4 companies and 30 million USD (28.8 million EUR), Greece with 12 companies and 25.8 million USD (24.7 million EUR), Switzerland with 8 companies and 21.9 million USD (21 million EUR) and Netherlands with 17 companies and 13.1 million USD (12.6 million EUR).
    • The classification according to the month of December this year, by the amount of the subscribed capital was increased, in equivalent of currency, in new companies and already active ones, among the first 40 companies by foreign direct investment are: Telemobil S.A. (with a partner from I. Virgine Brit.) registering an investment in equivalent of currency of 30 million USD (28.8 million EUR), Poarta S.A. (Greece) with 24 million USD (23 million EUR), Nova Trade SA (with a partner from the Switzerland) with 21.8 million USD (20.9 million EUR), Rulmenţi SA (Turkey) with 4.6 million USD (4.4 million EUR).

  • Considering the trends and the different tendencies from country to country regarding the classification by country of origin of the total foreign direct investment for the period 1991 –2002 (November) the first places are awarded to: Netherlands (1 place, 18.1% of the foreign investments by equivalent of currency), Germany (2 place, with 9.9%), USA (3 place, with 7.95%), France (4 place, with 7.4%) and Austria (5 place, with 7.2%).
    • The balance account of the foreign investments by equivalent of currency in 2002, November 30, is with 105.8 million USD (106.6 million EUR) higher than in the end of October 2002. The monthly trend related to the foreign investments in Romania registers fluctuations with regard to the number of companies and the subscribed capital, as well.
    • The structure upon the sector of activity of the companies by foreign direct investment, incorporated during 1991 – November 2002, shows the preference of investors for the commercial activities. Companies declaring in the statutory documents the intention to develop mainly commercial activities represent 55.3% of the total number of companies by foreign direct investments. The top of preferences continues with the industrial sector (19.0%), services (10.9%), tourism (4.3%) and agriculture (4.2%).

The structure upon the main sector of activity related to that upon the number of companies by foreign direct investment reveals that 55.4% of the total subscribed capital was invested in industry, 15.9% in commerce and 15.2% in services.

  • According to the records of November 2002, the following main results are to be mentioned:
    • At country’s level, 639 new companies by foreign direct investment were incorporated, amounting to a total capital of 16.1 million USD, in equivalent of currency. This month, the records by territoriality criteria indicate on the first places, according to the amount in equivalent of currency of the capital subscribed in new companies, Hunedoara county with a capital of 12 million USD (12.1 million EUR) and 6 new companies, Ilfov county with 2.56 million USD (2.58 million EUR) capital and 52 new companies and Bucharest Municipality with a capital of 913.1 thousand USD (919.3 thousand EUR) and 249 new incorporated companies. In what concerns the subscribed capital in equivalent of currency, for new companies by foreign direct investment, the records of November are with 10.7 million USD higher than in November 2001. Under these conditions of different trends regarding the number of companies by foreign direct investment and the amount of the subscribed capital, the average amount of the subscribed capital, in equivalent of currency, per unit, was of 25.2 thousand USD in November 2002 compared to 8.7 thousand USD in November 2001.

The highest number of companies by foreign direct investment (301 companies) was incorporated during November 2002, in the Bucharest-Ilfov region. In November, the regions ranking upon the investors’ preferences were the following: West (92 companies) and Nord-West (74 companies). According to the amount of the subscribed capital for new companies, the first place is awarded to West region registering 12.04 million USD.

    • A specific phenomena of November 2002 is concerning the relatively high increase in the subscribed capital of companies by foreign direct investment, according to the records in the trade register, namely: 32.9 million USD (33.1 million EUR) in equivalent of currency, within 498 already existing companies. The changes in the companies’ capital by increasing the amount, prevails within the total foreign investments in capital during November 2002, especially in Bucharest Municipality reaching 19.1 million USD (19.3 million EUR), Sibiu county amounting to 4.7 million USD (4.74 million EUR), in Olt county where investments of 2.52 million USD (2.54 million EUR) were recorded and Iaşi with 1.51 million USD (1.52 million EUR). In Bacău and Teleorman counties, there are no records concerning changes by increasing the subscribed capital of the companies by foreign direct investment, during November 2002.

According to the amount of the increase in the subscribed capital in November, on the first places are listed the following regions: Bucharest-Ilfov with 19.3 million USD, Center with 6 million USD and South-West Oltenia with 2.9 million USD.

    • In November 2002 a number of 119 companies by foreign direct investments were struck-off, that is 7.3 million USD (7.4 million EUR) in equivalent of currency. From the total number of these companies, 57 were recorded in Satu Mare county. Related to the economic regions, the highest number of strike-off of companies was recorded in Nord-West (67), Bucharest-Ilfov (22) and South-Muntenia (22).
    • Investors from all the continents in the world were the source of the foreign investments registered during November 2002 highlighting, by number and amount of the subscribed capital, the investors from Europe, with 443 new companies and 15.3 million USD (15.4 million EUR) in capital and those from Asia, with 170 new companies and 730 thousand USD (734 thousand EUR).
    • In what concerns the statutory documents for increasing the issued capital, the first two places are awarded to the investors from Europe, with a capital of 29.2 million USD and 327 companies and the investors from Asia with a capital of 1.4 million USD and 152 companies.

Investments made by O.E.C.D. countries prevail in the total of foreign investments registered during November 2002 in Romania. So, from a total of 639 new companies incorporated at country’s level, 430 companies subscribing 15.4 million USD (15.5 million EUR) as issued capital, represent the O.E.C.D. countries’ contribution and the increase in capital is recorded in 313 companies as contribution of investors from O.E.C.D. countries, reaching 17.7 million USD (17.8 million EUR) additional capital invested in their companies, during November 2002.

  • According to the classification by country of origin of the foreign investment, the records of November reveal that:
    • Regarding the incorporations of new companies and related to the subscribed capital, in equivalent of currency, the first places belong to investors from: Germany with 48 new companies and 12.5 million USD (12.6 million EUR), Great Britain with 10 new companies and 2 million USD (2.1 million EUR), China with 45 new companies and 352.5 thousand USD (357.2 thousand EUR), and Irak with 47 new companies and 206.7 thousand USD (209.4 thousand EUR).
    • As for increasing the subscribed capital, on the first places are listed the investors from: Cyprus with 13 companies and 6 million USD (6.1 million EUR), Netherlands with 14 companies and 5.8 million USD (5.9 million EUR), Gibraltar with 2 companies and 3.67 million USD (3.69 million EUR) and Germany with 49 companies and 3.4 million USD (3.5 million EUR).
    • The classification according to the month of November this year, by the amount of the subscribed capital was increased, in equivalent of currency, in new companies and already active ones, among the first 40 companies by foreign direct investment are: Amidip S.A. (with a German partner) registering an investment in equivalent of currency of 12 million USD (12.1 million EUR), Laminate S.A. (Cyprus) with 5.27 million USD (5.3 million EUR), Poliflex SRL (with a partner from the Netherlands) with 4.6 million USD (4.6 million EUR), Aectra Agrochemicals SA (Gibraltar) with 3.5 million USD (3.52 million EUR).
